STREET MEET FOOD APP TERMS OF SERVICE

Welcome to Street Meet Food! These Terms of Service (“Terms”) govern your access to and use of the Street Meet Food mobile app and its related services (collectively, the “app”) provided by 2624271 Alberta Ltd., operating under the trade name Street Meet Food (“Street Meet Food”, “we”, “our”, or “us”), whose principal place of business is Calgary, Alberta, Canada.

By accessing or using the app, you agree to be bound by these Terms. If you do not agree, please do not use the app.

1. Accepting the Terms

1.1 Your use of the app is subject to the terms of a legal agreement between you and Street Meet Food. Street Meet Food means 2624271 Alberta Ltd. This document explains how the agreement is made up, and sets out the terms of that agreement.

1.2 Unless otherwise agreed in writing with Street Meet Food, your agreement with Street Meet Food will always include, at a minimum, the terms and conditions set out in this document.

1.3 The Terms form a legally binding agreement between you and Street Meet Food in relation to your use of the app. It is important that you take the time to read them carefully.

1.4 In order to use the app, you must first agree to the Terms. You may not use the app if you do not accept the Terms.

1.5 By accessing, downloading, installing, or using any services provided by the app, you acknowledge that you have read, understood, and agree to be bound by these Terms. Any associated software is intended solely to enable your use of the app.

1.6 You may not access or use the app, its service or software, nor accept these Terms, if:

(a) You are under the age of 13;

(b) You are between the ages of 13 and the age of legal majority in your province or territory of residence, unless you have obtained consent from a parent or legal guardian; or

1.7 You should print off or save a local copy of the Terms for your records.

2. Using the Services

2.1 To access certain features of the app, you may be required to provide information about yourself (such as identification or contact details), or as part of your continued use of the app. You agree that any registration information you provide will be accurate, correct and up to date.

2.2 You agree to use the app only for purposes that are permitted by

(a) the Terms, and

(b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data or software to and from Canada or other relevant countries).

2.3 You are solely responsible for any data, messaging, or other internet related charges incurred through your use of the app including but not limited to downloading, streaming, receiving or interacting with content (including push notifications). Street Meet Food disclaims any liability for such fees.

2.4 You may only access the app using authorized means. It is your responsibility to check to ensure you download the correct Software for your device. Street Meet Food is not liable if you do not have a compatible handset or if you have downloaded the wrong version of the app for your handset. Street Meet Food reserves the right to terminate this Agreement should you be using the Service or Software with an incompatible or unauthorized device.

2.5 By using the app, you agree to the following.

(a) You will only use the app for lawful purposes; you will not use the app for sending or storing any unlawful material or for fraudulent purposes.

(b) You will not use the app to cause nuisance, annoyance or inconvenience.

(d) You will not try to harm the app in any way whatsoever.

(e) You will not copy, or distribute the app or other content without written permission from Street Meet Food.

(f) You will only use the app for your own use and will not resell it to a third party.

(g) You will keep secure and confidential your account password or any identification we provide you which allows access to the app.

(h) You will provide us with proof of identity if requested.

(i) You will only use an access point which you are authorized to use.

3. Privacy Policy

3.1 For information about how we collect and use personal data, please read our Privacy Policy.

3.2 You agree to the use of your data in accordance with Street Meet Food’s privacy policies.

4. Payment Terms

4.1 Fees charged by Street Meet Food are due immediately and are non-refundable, regardless of usage or termination. This no refund policy applies at all times regardless of your decision to terminate your usage, our decision to terminate your usage, disruption caused to our app, Software or Service either planned, accidental or intentional, or any reason whatsoever. Street Meet Food reserves the right to determine final prevailing pricing.

4.2 Street Meet Food may change the fees for our app as we deem necessary for our business.

4.3 Street Meet Food may offer promotions or pricing changes at its discretion. These offers do not apply retroactively unless explicitly stated.

4.4 All payment processing may be handled by third-party providers. By using the app, you agree to their terms and policies.

5. Reserved Rights

5.1 Street Meet Food reserves the right to modify or stop the app or any of its services (or any part thereof), either temporarily or permanently, at any time or from time to time, with or without prior notice to you. Without limiting the foregoing, Street Meet Food may send email (to the address provided by you) notice of such changes to the app or its Services. It is your responsibility to check the email at the address you provided to us for any such notices. You agree that Street Meet Food shall not be liable to you or any third party for any modification or cessation of the Service.

5.2 Street Meet Food may introduce additional services, including but not limited to analytics-based features or analytics-as-a-service offering made available to vendors or partners. Such features may be designed to optimize operations, monitor performance, or enhance user experience, and may involve the use of anonymized and/or aggregated data collected through your use of the app and its services. By using the app, you consent to the collection and use of anonymized and/or aggregated data to improve operations, monitor performance, and enhance user experience.

5.3 These Terms may be updated from time to time. We will notify you by email (sent to the email address specified in your account) or by means of a notice on our website or the App prior to the change becoming effective. Continued use of the app after changes are posted constitutes your acceptance of the revised Terms.

6. Intellectual Property Ownership

6.1 Street Meet Food alone (and its licensors, where applicable) shall own all right, title and interest, including all related intellectual property rights, in and to the app, software and services and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the app. This Agreement is not a sale and does not convey to you any rights of ownership in or related to the app or any intellectual property rights owned by Street Meet Food.

6.2 Street Meet Food name, the Street Meet Food logo, and the product names associated with the app are trademarks of Street Meet Food, and no right or license is granted to use them.

7. Third Party Interactions

7.1 During use of the app, you may enter into correspondence with, purchase goods and/or services from, or participate in promotions of third party service providers, advertisers or sponsors showing their goods and/or services through the app. Any such activity, and any terms, conditions, warranties or representations associated with such activity, is solely between you and the applicable third-party. Street Meet Food and its licensors shall have no liability, obligation or responsibility for any such correspondence, purchase, transaction or promotion between you and any such third-party. Street Meet Food does not endorse any sites on the Internet that are linked through the app, and in no event shall Street Meet Food or its licensors be responsible for any content, products, services or other materials on or available from such sites or third party providers.

7.2 Street Meet Food provides the app to you pursuant to the Terms of this Agreement. You recognize, however, that certain third-party providers of goods and/or services may require your agreement to additional or different terms and conditions prior to your use of or access to such goods or services, and Street Meet Food disclaims any and all responsibility or liability arising from such agreements between you and the third party providers.

8. User Content

8.1 If you submit or post content (reviews, event listings, images, etc.) via the app, you grant Street Meet Food a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with the app and its promotion.

8.2 You represent that you own or have rights to the content you submit and that it does not infringe any third-party rights.

9. Indemnification

9.1 By entering into this Agreement and using the app, you agree that you shall defend, indemnify and hold Street Meet Food, its licensors and each such party's parent organizations, subsidiaries, affiliates, officers, directors, members, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys' fees and costs) arising out of or in connection with: (a) your violation or breach of any term of this Agreement or any applicable law or regulation, whether or not referenced herein; (b) your violation of any rights of any third party, or (c) your use or misuse of the Software or Service.

10. Disclaimer of Warranties

10.1 THE APP IS PROVIDED TO YOU STRICTLY ON AN "AS IS" BASIS. STREET MEET FOOD DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE USE, AND MAKES NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE APP. STREET MEET FOOD DOES NOT REPRESENT OR WARRANT THAT:

(A) THE USE OF THE APP WILL BE SECURE, TIMELY, UNINTERRUPTED OR ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA,

(B) THE APP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS,

(D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE APP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS,

(E) ERRORS OR DEFECTS IN THE APP WILL BE CORRECTED, OR

(F) THE SERVICE OR THE SERVER(S) THAT MAKE THE APP AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY STREET MEET FOOD. STREET MEET FOOD MAKES NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, SAFETY, TIMELINESS, QUALITY, SUITABILITY OR AVAILABILITY OF ANY SERVICES, PRODUCTS OR GOODS OBTAINED BY THIRD PARTIES THROUGH THE USE OF THE APP. YOU ACKNOWLEDGE AND AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE APP, AND ANY THIRD PARTY SERVICES OR PRODUCTS REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Internet Delays

11.1 THE APP MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. STREET MEET FOOD IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS.

12. Limitation of Liability

12.1 IN NO EVENT SHALL STREET MEET FOOD’S AGGREGATE LIABILITY EXCEED THE AMOUNTS ACTUALLY PAID BY AND/OR DUE FROM YOU IN THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM. IN NO EVENT SHALL STREET MEET FOOD AND/OR ITS LICENSORS BE LIABLE TO ANYONE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING PERSONAL INJURY, LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE). STREET MEET FOOD AND/OR ITS LICENSORS SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE OR INJURY WHICH MAY BE INCURRED BY YOU, INCLUDING BUT NOT LIMITED TO LOSS, DAMAGE OR INJURY ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THE APP, INCLUDING BUT NOT LIMITED TO THE USE OR INABILITY TO USE THE APP, ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF ANY ADVERTISING, OR AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY THIRD PARTY SERVICE PROVIDER, ADVERTISER OR SPONSOR WHOSE ADVERTISING APPEARS ON THE APP OR IS REFERRED BY THE SERVICE OR SOFTWARE, EVEN IF STREET MEET FOOD AND/OR ITS LICENSORS HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 THE APP INTRODUCES YOU TO THIRD-PARTY FOOD SERVICE PROVIDERS FOR THE PURPOSES OF PROVIDING FOOD. WE DO NOT ASSESS THE SUITABILITY, LEGALITY OR ABILITY OF ANY FOOD PROVIDER AND YOU EXPRESSLY WAIVE AND RELEASE STREET MEET FOOD FROM ANY AND ALL LIABILITY, CLAIMS OR DAMAGES ARISING FROM OR IN ANY WAY RELATED TO THE FOOD SERVICE PROVIDER. STREET MEET FOOD WILL NOT BE A PARTY TO DISPUTES, NEGOTIATIONS OF DISPUTES BETWEEN YOU AND SUCH THIRD PARTY PROVIDERS. WE CANNOT AND WILL NOT PLAY ANY ROLE IN MANAGING PAYMENTS BETWEEN YOU AND THE THIRD PARTY PROVIDERS. RESPONSIBILITY FOR THE DECISIONS YOU MAKE REGARDING SERVICES OFFERED VIA THE APP (WITH ALL ITS IMPLICATIONS) RESTS SOLELY WITH YOU. YOU EXPRESSLY WAIVE AND RELEASE STREET MEET FOOD FROM ANY AND ALL LIABILITY, CLAIMS, CAUSES OF ACTION, OR DAMAGES ARISING FROM YOUR USE OF THE APP, OR IN ANY WAY RELATED TO THE THIRD PARTIES INTRODUCED TO YOU BY THE APP.

13. General Terms

13.1 Your use of third-party services through the app may be governed by separate terms. Your use of these other services may be subject to separate terms between you and the company or person concerned. If so, the Terms do not affect your legal relationship with these other companies or individuals.

13.2 These Terms constitute the entire agreement between you and Street Meet Food.

13.3 You agree that if Street Meet Food does not exercise or enforce any legal right or remedy which is contained in the Terms (or which Street Meet Food has the benefit of under any applicable law), this will not be taken to be a formal waiver of Street Meet Food’s rights and that those rights or remedies will still be available to Street Meet Food.

13.4 If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable.

13.5 The Terms, and your relationship with Street Meet Food under the Terms, shall be governed by the laws of the Province of Alberta without regard to its conflict of laws provisions. You and Street Meet Food agree to submit to the exclusive jurisdiction of the courts located within the Judicial District of Calgary, in the Province of Alberta, to resolve any legal matter arising from the Terms. Notwithstanding this, you agree that Street Meet Food shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
